Item 1.01     Entry into a Material Definitive Agreement.
Twelfth Amendment to Credit Agreement
On July 13, 2022 (the “Closing Date”), CSC Holdings, LLC (the “Borrower”), an indirect wholly-owned subsidiary of Altice USA, Inc. (the “Company”), entered into a Twelfth Amendment to Credit Agreement (Extension Amendment), by and among the Borrower, the 2022 Extended Revolving Credit Lenders (as defined therein) and JPMorgan Chase Bank, N.A., as administrative agent (the “Twelfth Amendment”). The Twelfth Amendment amends and supplements the Borrower’s credit agreement, dated as of October 9, 2015, by and among the Borrower, the lenders party thereto from time to time, the administrative agent, the security agent and the other parties thereto from time to time (as amended, restated, modified or supplemented from time to time and as further amended by the Twelfth Amendment, the “Credit Agreement”).

The Twelfth Amendment provides for, among other things, new revolving credit commitments (the “2022 Revolving Credit Commitments”) in an aggregate principal amount of $2,325.0 million with an extended maturity until the date that is the earlier of (i) July 13, 2027 and (ii) April 17, 2025 if, as of such date, any March 2017 Term Loans (as defined in the Fourth Amendment to Credit Agreement (Incremental Loan Assumption Agreement & Refinancing Amendment), dated as of March 15, 2017 (the “Fourth Amendment”)) are still outstanding, unless the March 2017 Term Loan Maturity Date (as defined in the Fourth Amendment) has been extended to a date falling after July 13, 2027. After the effectiveness of the Twelfth Amendment, our existing revolving commitments maturing in January 2024 will equal an aggregate principal amount of $150.0 million. The loans made pursuant to the 2022 Revolving Credit Commitments, may be comprised of Term SOFR borrowings or alternative base rate borrowings, and will bear interest at a rate per annum equal to the Term SOFR rate (plus a Term SOFR credit adjustment spread of 0.10%) or the alternate base rate, as applicable, plus the applicable margin, where the applicable margin is (i) with respect to any alternate base rate loan, 1.25% per annum and (ii) with respect to any Term SOFR loan, 2.25% per annum.
